Terms of Service
Effective Date: July 7, 2026
These Terms of Service ("Terms") constitute a binding legal agreement between you ("User", "you", or "your") and Expletus, a company registered in Belgium ("Expletus", "we", "us", or "our"), governing your acquisition, installation, execution, configuration, and use of the Orbicus software suite, the Orbicus website (orbicus.dev), the Orbicus VS Code Extension, the Orbicus Workspace application, the Orbicus Core engine, and all associated tools, services, and documentation (collectively, the "Software").
1. Definitions
For purposes of these Terms, the following definitions apply:
- "Software" means the Orbicus software code (compiled binaries and web view components), the CLI tool, the VS Code extension, documentation, scripts, skills, and any subsequent updates, patches, or modifications thereto.
- "User Workspace" refers to the local directories, directories structures, repositories, databases, files, and operating system environments configured by the User to interface with the Software.
- "API Credentials" means the API keys, access tokens, authentication headers, or system configurations supplied by the User to connect the Software to external Large Language Model (LLM) providers.
- "Third-Party Provider" means any external artificial intelligence service provider, including but not limited to Anthropic PBC, OpenAI L.L.C., Google LLC, or local model endpoints hosting LLM inference.
- "Outputs" means any source code, modification diffs, plans, instructions, tasks, documentation, or configuration modifications generated by the Software or its AI agents.
- "Prompts" means any source code context, file fragments, directory lists, shell logs, or text messages passed by the Software to Third-Party Providers.
2. Proprietary License Grant & Prohibited Uses
Subject to your strict compliance with these Terms, Expletus grants you a non-exclusive, non-transferable, revocable, royalty-free, limited license to run and execute unmodified copies of the Software on compatible hardware under your possession and control, solely for your software development, research, and coding tasks.
License Restrictions: You shall not, and shall not permit any third party to:
- Modify, adapt, translate, merge, or prepare derivative works of any portion of the Software.
- Reverse engineer, disassemble, decompile, or otherwise attempt to discover the source code, internal schemas, or underlying algorithms of the Software.
- Rent, lease, sub-license, distribute, publish, or make the Software available as a service bureau or software-as-a-service (SaaS) to any third party.
- Bypass, modify, or disable any security boundaries, filesystem protections, or supervisorial tools (such as path lockouts or tool approval prompts) built into the Software.
- Use the Software to develop or build a product, service, or tool that is directly or indirectly competitive with the Software.
- Incorporate the Software's proprietary binaries into any other IDE extensions, command-line utilities, or autonomous frameworks without express written authorization.
3. AI Generation, Output Disclaimers, and License Contamination
Ownership: Expletus makes no claims of ownership, copyright, or intellectual property rights over any Outputs. All generated code and configurations belong to you, subject to your compliance with these Terms and any governing licenses of Third-Party Providers.
Accuracy and Code Safety: Outputs are generated via statistical language modeling and are probabilistic. Expletus does not verify, warrant, or guarantee the correctness, safety, vulnerability-free status, or compliance of the Output. AI-generated code may exhibit logical bugs, resource leaks, memory exploits, or outdated API patterns. You are solely responsible for compiling, linting, scanning, testing, and reviewing all Outputs before merging or deploying them.
License Contamination & Infringement Risk: Large Language Models are trained on diverse public repositories, some of which are licensed under copyleft regimes (e.g., GPL, AGPL) or require attribution. There is a risk that Outputs may resemble protected source code or infringe third-party patents, copyrights, or open-source licenses. Expletus does not provide any representation, warranty, or indemnification against intellectual property claims arising from your use of Outputs. You assume all responsibility for verifying compliance with open-source licenses.
4. Autonomous Local System Execution Risks
The Software relies on a multi-agent orchestration architecture where local AI agents possess the capability to run terminal commands, execute build processes, read and write files, and interface with your local filesystem and network.
Mandatory User Supervision: The Software is designed to prompt for approvals for file writes or command executions depending on configuration. If you choose to enable automatic approvals, disable prompts, or bypass checks, you do so at your sole peril. You are the final authority and supervisor in the loop. You must inspect all terminal commands and proposed patches before allowing execution.
Assumption of Operational Harm: Expletus assumes no responsibility and shall have no liability for any damage to your hardware, Operating System, filesystems, developer keys, local environment variables, databases, or local network. Risks include, but are not limited to: recursive directory deletions, script injection, compiler errors, build server locks, process hangs, data leakage, and security vulnerability introduction. You operate the Software at your own risk.
5. Third-Party AI Services, API Billing, and Credentials
The Software is a local client that facilitates direct connections from your machine to Third-Party Providers. It does not include LLM API subscription keys.
API Account & Billing Management: You are solely responsible for setting up accounts, providing API credentials, and paying all fees associated with Third-Party Providers. Expletus has no control over, and assumes no liability for: (i) unexpected token consumption or usage costs; (ii) billing overages; (iii) the security or storage of your API keys (which are stored locally on your device); or (iv) changes in pricing or availability of Third-Party API services.
6. Beta Status & Experimental Features
You acknowledge that the Software is currently distributed in a "Beta" or "Preview" state. As such, features may be unstable, contain bugs, undergo rapid modification, or be discontinued without notice. Expletus does not guarantee backward compatibility, uptime, or regular patch support for the Software.
7. Prohibited Acceptable Use Policies
You agree not to use the Software, or instruct its agents, to:
- Generate, test, package, or distribute malware, ransomware, virus strains, exploits, or malicious code.
- Scan, probe, or attempt unauthorized entry into remote network devices, portals, or cloud hosting infrastructures.
- Execute commands or modify files containing material that is illegal, defamatory, or in violation of intellectual property laws.
- Violate the acceptable use policies, safety parameters, or developer agreements of any Third-Party Providers.
8. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE, INSTRUMENTS, SCRIPTS, AND WEBSITES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. EXPLETUS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SYSTEM SECURITY, FUNCTIONAL INTEGRATION, ACCURATE SUGGESTIONS, AND NON-INFRINGEMENT. EXPLETUS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, OPERATE ERROR-FREE, OR HAVE NO HARM TO YOUR DEVELOPER FILES, DIRECTORIES, OR OPERATING SYSTEMS.
9. Indemnification
You agree to defend, indemnify, and hold harmless Expletus, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising out of or in connection with: (a) your use of and access to the Software; (b) your violation of these Terms; (c) any modifications, deletions, or damage caused to local workspaces, repositories, or system files by AI agents acting under your approval; or (d) any third-party claims of copyright or license infringement related to Outputs integrated by you into other software.
10. Absolute Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXPLETUS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, DATA LOSS, COMPILER CRASHES, OPERATIONAL DOWNTIME, SECURITY BREACHES, SYSTEM FAILURE, OR DATA LEAKAGE, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL EXPLETUS'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS OF ANY KIND ARISING UNDER OR RELATING TO THESE TERMS OR THE SOFTWARE EXCEED THE GREATER OF FIFTY UNITED STATES DOLLARS ($50.00 USD) OR THE CUMULATIVE FEES PAID BY YOU TO EXPLETUS FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Dispute Resolution, Binding Arbitration & Class Action Waiver
Mandatory Individual Arbitration: You and Expletus agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Software, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved exclusively by binding, individual arbitration, rather than in a court of law. The arbitration shall be conducted in Brussels, Belgium, in English, and in accordance with Belgian arbitration procedures.
Class Action Waiver: YOU AND EXPLETUS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding.
Opt-Out: You have the right to opt out of the binding arbitration and class action waiver provisions within thirty (30) days from the date you first install the Software. To opt out, you must send a written notice to Expletus stating your name, address, and an unequivocal request to opt out of arbitration to our email address or support website.
12. Governing Law and Exclusive Jurisdiction
These Terms, and all claims or causes of action arising hereunder, shall be governed by, and construed in accordance with, the laws of Belgium and the European Union, without regard to conflict of law principles. Any legal action not subject to arbitration under Section 11 shall be brought exclusively in the courts of Brussels, Belgium, and you consent to personal jurisdiction therein.
13. Severability, Integration, and Non-Waiver
If any provision of these Terms is found by an arbitrator or court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these Terms shall continue in full force and effect. These Terms constitute the entire agreement between you and Expletus regarding the Software and supersede all prior discussions or understandings.
